The Senior Counsel will be part of a dynamic and collaborative team responsible for providing broad legal and related support to the Exyte Americas business, including negotiating a wide range of agreements, managing claims and risk, overseeing corporate governance, and providing strategic legal advice. Strong experience drafting, negotiating, and managing large EPC and related agreements is critical. The Senior counsel will provide legal advice and guidance to all levels of management and act as a trusted business partner. Must be solution-oriented, responsive, and able to work independently. Strong communication and collaboration skills and ability to work on tight timeline across different time zones are key.  The role reports to the General Counsel for Exyte Americas.

Explore your tasks and responsibilities

  • Drafts, reviews, and negotiates contracts and other documents affecting the Company’s day-to-day operations, including, design, construction, and EPC agreements, employment and labor agreements, subcontract and vendor agreements, jobsite work rules, and EHS processes and procedures. 
  • Provides legal advice and guidance to business lines and functional management on matters affecting business.
  • Acts as a trusted business partner to management.
  • Manages the resolution of claims and litigation by clients, subcontractors and other third parties, working with insurers outside counsel, as appropriate. 
  • Manages and handles employment claims and litigation.
  • Provides guidance on corporate governance, regulatory compliance, ethics, Code of Conduct, policy guidelines, leases, insurance, organizational structure, and collection matters.
  • Counsels Senior Management regarding corporate risks, and supports the company's Enterprise Risk Management and Compliance programs.
  • Works closely with Human Resources, Compliance, and other departments to advise on legal requirements and interpret and enforce policies, handbooks, agreements, etc.
  • Investigates, responds to and advises on NLRB, OSHA, EEOC, DOL, WARN, FLSA and other government administrative actions.
  • May be involved in environmental and intellectual property matters and other types of commercial and non-commercial legal issues.
  • Support merger and acquisition transactions.
  • Manages assigned projects to completion.
  • Other duties as assigned.

Show your expertise

  • Education: Juris Doctor degree
  • Must be licensed and in good standing as a lawyer in Texas (or other approved state)
  • 8+ years of experience
  • Excellent verbal and written communication skills
  • Strong experience negotiating and drafting large EPC agreements
  • Prior experience working in a law firm and in- house preferred
